All services are subject to separate written agreements which will include specific scope, deliverables, timelines, fees, and terms. The specific terms of any engagement will supersede these general Terms of Service where applicable.

Eligibility and Client Selection

Our services are intended for sophisticated clients who understand the nature of professional branding and reputation management services. You must be at least 18 years of age to use our services.

Present reserves the right to accept or decline any potential engagement at our sole discretion. We maintain a selective client roster to ensure we can provide the highest level of service to each client. Not all inquiries will result in engagement.

Fees and Payment

Fees for our services are determined on a case-by-case basis and will be specified in individual service agreements. All fees are quoted in US Dollars unless otherwise specified.

Clients are also expected to maintain confidentiality regarding our proprietary methodologies, strategic frameworks, and business processes.

Intellectual Property Rights

Our Property: All content on our website, including text, graphics, logos, images, and software, is the property of Present Publishing Company and protected by copyright, trademark, and other intellectual property laws.

Work Product: Ownership of deliverables created for clients will be specified in individual service agreements. Typically, upon full payment, clients receive rights to use final deliverables for their personal or business purposes, while Present retains ownership of underlying methodologies, frameworks, and processes.

Client Materials: Clients retain ownership of all materials provided to Present. By providing materials, you grant us a license to use them solely for the purpose of delivering services to you.

No Guarantees

While we bring extensive experience and proven methodologies to every engagement, personal branding and reputation management involve many variables beyond our control. We cannot and do not guarantee specific outcomes, media placements, search engine rankings, or measurable results.

Our commitment is to deliver strategic counsel and world-class execution based on industry best practices. Success depends on numerous factors including market conditions, timing, client cooperation, and external circumstances.

Limitation of Liability

To the maximum extent permitted by law, Present Publishing Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to use our services
  • Any conduct or content of any third party
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your content

Our total liability to you for all claims arising from or relating to our services shall not exceed the amount you have paid us in the twelve months preceding the claim.

Termination

Either party may terminate an engagement in accordance with the terms specified in the applicable service agreement. Termination terms will typically include:

  • Required notice periods (typically 30-60 days)
  • Payment obligations for work completed
  • Return or destruction of confidential materials
  • Survival of confidentiality and intellectual property provisions

We reserve the right to terminate any engagement immediately if you breach these Terms or your service agreement, engage in illegal activities, or act in a manner that damages our reputation.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation.

If negotiation does not resolve the dispute within thirty (30) days, the parties agree to submit the dispute to binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in a location mutually agreed upon by the parties.

Each party shall bear its own costs and expenses in connection with arbitration, and the arbitrator's fees shall be shared equally unless the arbitrator determines otherwise.

International Clients

Present Publishing Company provides services to clients worldwide. By engaging our services from outside the United States, you acknowledge and agree that:

  • Services will be provided from the United States and other jurisdictions
  • Your information may be transferred to and processed in the United States
  • You are responsible for compliance with local laws in your jurisdiction
  • Currency exchange risks are borne by the client
  • All fees are quoted in US Dollars unless otherwise specified

Indemnification

You agree to indemnify, defend, and hold harmless Present Publishing Company, its officers, directors, employees, agents, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your breach of these Terms or any service agreement
  • Your violation of any law or rights of a third party
  • Your use of our services or deliverables
  • Content or information you provide to us

General Provisions

Entire Agreement: These Terms, together with any applicable service agreement and our Privacy Policy, constitute the entire agreement between you and Present regarding our services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: Neither party shall be liable for failure to perform due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
